1. ACCEPTANCE OF TERMS AND CONDITIONS

By accessing, browsing, or utilizing the BizCredify platform, software, services, and any associated applications (collectively referred to hereinafter as the "Platform" or "Services"), you (hereinafter referred to as "User," "Subscriber," "You," or "Your") hereby acknowledge, agree, and consent to be legally bound by these Terms and Conditions (hereinafter referred to as "Agreement," "Terms," or "T&C"), including all amendments, modifications, and supplementary terms that may be posted on the Platform from time to time. Your continued use of the Platform constitutes your irrevocable acceptance of these Terms in their entirety.

IF YOU DO NOT AGREE TO THESE TERMS AND CONDITIONS IN THEIR ENTIRETY, YOU MUST IMMEDIATELY CEASE AND DESIST FROM ACCESSING OR USING THE PLATFORM AND ALL ASSOCIATED SERVICES.

2. NATURE OF SERVICES AND PLATFORM LICENSE

BizCredify operates as a Software-as-a-Service (SaaS) platform that provides Users with access to educational information, resources, tools, and guidance pertaining to business credit establishment, development, and management. The Platform charges a recurring subscription fee (hereinafter referred to as "Platform Usage License Fee" or "Subscription Fee") for access to and utilization of the Platform's features, content, and services.

YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT:

• The Platform provides access to informational content, educational materials, and organizational tools as the primary deliverable for which the Subscription Fee is charged;
• The Platform does NOT guarantee, warrant, or represent that any User will obtain credit approval, credit lines, loans, financing, or any other form of credit from any financial institution, lender, vendor, or credit-granting entity;
• All credit decisions, approvals, denials, credit limits, terms, and conditions are made solely and exclusively at the discretion of the respective financial institutions, lenders, vendors, and credit bureaus;
• The Platform has no control, influence, or authority over any third-party credit decisions whatsoever.

3. DISCLAIMER OF WARRANTIES AND REPRESENTATIONS

THE PLATFORM, INCLUDING ALL CONTENT, INFORMATION, TOOLS, RESOURCES, AND SERVICES, IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTIES OR REPRESENTATIONS OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, BIZCREDIFY HEREBY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

• IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT;
• WARRANTIES REGARDING THE ACCURACY, COMPLETENESS, RELIABILITY, OR TIMELINESS OF ANY CONTENT OR INFORMATION;
• WARRANTIES THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS;
• WARRANTIES REGARDING THE RESULTS OR OUTCOMES THAT MAY BE OBTAINED FROM THE USE OF THE PLATFORM.

4. LIMITATION OF LIABILITY AND INDEMNIFICATION

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL BIZCREDIFY, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, SUCCESSORS, OR ASSIGNS BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Damages arising from credit denials, adverse credit decisions, or unfavorable credit terms;
• Damages to personal credit scores, business credit scores, or credit reports;
• Loss of business opportunities, revenue, profits, or anticipated savings;
• Damages arising from reliance on any information or content provided through the Platform;
• Any damages resulting from unauthorized access to or alteration of your data or transmissions;
• Any other damages arising out of or in connection with the use or inability to use the Platform.

HOLD HARMLESS AGREEMENT: You hereby agree to indemnify, defend, and hold harmless BizCredify and its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any rights of any third party; (d) any credit decisions made by third parties; or (e) any damages to your personal or business credit resulting from your own decision-making.

5. SUBSCRIPTION AND PAYMENT TERMS

Access to the Platform requires payment of the applicable Subscription Fee. By subscribing to the Platform, you agree to the following payment terms:

• Subscription Fees are charged on a recurring basis (monthly or annually, as selected) and will automatically renew unless cancelled prior to the renewal date;
• All fees are non-refundable except as expressly provided herein or as required by applicable law;
• BizCredify reserves the right to modify Subscription Fees at any time with reasonable notice to Users;
• Failure to pay applicable fees may result in suspension or termination of access to the Platform.

6. USER RESPONSIBILITIES AND ACKNOWLEDGMENTS

By using the Platform, you acknowledge and agree that:

• You are solely responsible for all decisions regarding credit applications, financial matters, and business operations;
• You will provide accurate, current, and complete information when using the Platform;
• You understand that building business credit is a process that depends on numerous factors outside the control of BizCredify;
• You will not hold BizCredify responsible for any adverse outcomes resulting from your use of the Platform or your credit-related decisions;
• You are responsible for maintaining the confidentiality of your account credentials.

7. INTELLECTUAL PROPERTY RIGHTS

All content, materials, features, and functionality of the Platform, including but not limited to text, graphics, logos, icons, images, audio clips, video clips, data compilations, software, and the compilation thereof, are the exclusive property of BizCredify or its licensors and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

8. THIRD-PARTY LINKS AND SERVICES

The Platform may contain links to third-party websites, services, or resources. BizCredify does not endorse, control, or assume any responsibility for the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that BizCredify shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such websites or services.

9. DISPUTE RESOLUTION AND ARBITRATION

Any dispute, controversy, or claim arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, including the determination of the scope or applicability of this agreement to arbitrate, shall be determined by binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall be conducted in the state of Texas, and judgment on the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof.

CLASS ACTION WAIVER: YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

10. GOVERNING LAW AND JURISDICTION

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, United States of America, without regard to its conflict of law provisions. You agree to submit to the exclusive jurisdiction of the courts located in Texas for the resolution of any disputes arising out of or relating to these Terms or your use of the Platform.

11. MODIFICATIONS TO TERMS

BizCredify reserves the right to modify, amend, or update these Terms at any time in its sole discretion. Any changes will be effective immediately upon posting on the Platform. Your continued use of the Platform following the posting of revised Terms constitutes your acceptance of such changes. It is your responsibility to review these Terms periodically for updates.

12. SEVERABILITY

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such invalidity, illegality, or unenforceability shall not affect any other provision of these Terms, which shall remain in full force and effect. The invalid, illegal, or unenforceable provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable while preserving the original intent of the parties.

13. ENTIRE AGREEMENT

These Terms, together with any other legal notices, policies, and agreements published by BizCredify on the Platform, constitute the entire agreement between you and BizCredify concerning your use of the Platform and supersede all prior or contemporaneous communications, proposals, and agreements, whether electronic, oral, or written, between you and BizCredify with respect to the Platform.
